These Terms of Use ("Terms") govern your access to neuralvault.one and your engagement with training services offered by Neural Vault Inc., a British Columbia corporation with business number 827519846 RC0001. By using our website or registering for vault tier programmes, you agree to these Terms.

1. About Neural Vault

Neural Vault Inc. provides responsible AI knowledge and enterprise readiness training for Canadian professional teams. Our services include live vault cohort workshops, self-paced modules, executive briefings, and corporate team programmes delivered from our Vancouver studio and remotely. We are a training provider — not a cryptocurrency custodian, not a neuroscience clinic, not an analytics consultancy promising guaranteed outcomes, and not a job placement agency.

The brand name "Neural Vault" refers to a structured curriculum metaphor for tiered AI knowledge and secure adoption practices — framing governance, prompt stewardship, and reviewing AI-assisted outputs. It does not imply cryptocurrency cold storage, medical neurology services, automated decision systems without human oversight, or life coaching on the `.one` domain.

2. Educational nature of services

All vault tiers described on this website are educational. Completion certificates reflect participation in training workshops only. They do not constitute professional certification, academic credit, software vendor accreditation, clinical licensure, or financial product authorization in any regulated field.

We do not guarantee job placement, salary increases, business revenue, productivity gains, or specific automation results. Generative AI tools covered in our curriculum — including ChatGPT, Microsoft Copilot, and Claude — may produce inaccurate, incomplete, or biased outputs. Participants are trained to apply human-in-the-loop review and professional judgment before using any AI-assisted draft in a work context.

3. AI training disclaimer

Neural Vault Inc. operates as a vocational training provider focused on responsible AI knowledge and governance-aware workflows for Canadian enterprises. Completing a vault tier reflects attendance in educational sessions only — we make no promises regarding employment, compensation growth, revenue targets, or measurable productivity gains. Outputs from generative AI systems may be wrong, incomplete, or biased; participants must apply professional scrutiny and documented review before relying on any AI-assisted material. We do not provide legal, medical, financial, or regulated professional advice unless explicitly stated with a named licensed entity.

4. Website use licence

We grant you a limited, non-exclusive, non-transferable licence to access and view website content for personal or internal business evaluation. You may not:

  • Copy, scrape, or redistribute curriculum materials without written permission.
  • Reverse-engineer or interfere with site security.
  • Use the site for unlawful purposes or to transmit malware.
  • Impersonate Neural Vault Inc. or misrepresent affiliation with OpenAI, Microsoft, Anthropic, or other AI vendors.
  • Promote neuralvault.one as a cryptocurrency wallet, data storage SaaS, or neuroscience clinic.

5. Enrolment and payment

Programme fees are quoted in Canadian dollars (CAD) unless otherwise stated. Booking is confirmed upon receipt of payment or signed corporate purchase order as specified in your quote. Prices on the website are subject to change; confirmed bookings honour the price at time of confirmation.

Cancellation and refund terms are described on our FAQ page and in individual enrollment agreements. Corporate contracts may supersede standard terms where explicitly negotiated. All quoted session times use Pacific Time (America/Vancouver) unless otherwise agreed in writing.

6. Participant conduct

Participants must conduct themselves professionally during workshops. Harassment, discrimination, or misuse of AI tools to generate harmful content will result in removal without refund. You agree not to paste confidential personal data, unreleased financial information, or client-identifiable records into shared exercises without anonymization and organizational approval.

Participants may not record facilitators or distribute vault curriculum materials publicly without written consent. Internal use within your organization for training purposes is permitted as described in enrollment materials.

7. Intellectual property

All site content, vault tier frameworks, prompt libraries, and governance materials are owned by Neural Vault Inc. or licensed to us. Participants receive a limited licence to use handouts for internal business purposes. Public redistribution, resale, or incorporation into competing training products is prohibited.

Feedback you provide during workshops may be used anonymously to improve our programmes. If you submit suggestions that we incorporate materially, we do not owe compensation unless agreed separately in writing.

8. Third-party tools and links

Our training may reference third-party AI tools and websites. We do not control those services and are not responsible for their availability, terms, or data practices. Links are provided for convenience and do not constitute endorsement. Your use of ChatGPT, Copilot, Claude, or other tools remains subject to your organization's policies and the vendors' terms of service.

9. Disclaimer of warranties

Website content and training materials are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted website access or error-free materials. We do not warrant that generative AI tools demonstrated in class will remain available, unchanged, or suitable for your specific regulatory environment.

10. Limitation of liability

To the maximum extent permitted by British Columbia law, Neural Vault Inc., its directors, employees, and facilitators shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from website use or training participation, including lost profits or data. Our aggregate liability for any claim shall not exceed the fees paid by you for the specific vault tier giving rise to the claim during the twelve months preceding the claim.

Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the fullest extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded under the British Columbia Business Practices and Consumer Protection Act or other applicable statutes.

11. Indemnification

You agree to indemnify and hold harmless Neural Vault Inc. from claims arising from your misuse of the website, violation of these Terms, or inappropriate use of AI tool training outside our supervised exercises, including claims related to unauthorized submission of confidential data into third-party models.

12. Privacy

Personal information is handled in accordance with our Privacy Policy and PIPEDA. By submitting forms, you consent to collection and use as described therein. Cookie preferences are managed separately through our cookie banner.

13. Governing law and jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. You agree to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for disputes arising from these Terms or our services, without regard to conflict-of-law principles.

If you are a consumer resident outside British Columbia, mandatory consumer protection laws in your province of residence may apply to certain aspects of our relationship where they cannot be waived by contract.

14. Severability

If any provision of these Terms is found unenforceable by a court of competent jurisdiction in British Columbia, the remaining provisions continue in full force. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.

15. Entire agreement

These Terms, together with enrollment agreements, the Privacy Policy, and Cookie Policy, constitute the entire agreement regarding website use unless superseded by a signed corporate contract. Oral statements by facilitators during workshops do not amend these Terms unless confirmed in writing by Neural Vault Inc.

16. Force majeure

We are not liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, utility failures, labour disputes, or government orders. In such cases, we will offer rescheduled sessions or pro-rata credits where appropriate under our refund policy.

17. Assignment

You may not assign your rights under these Terms without our written consent. Neural Vault Inc. may assign its rights in connection with a merger, acquisition, or sale of assets, provided the assignee honours existing privacy commitments.

18. Language

These Terms are drafted in English. If translated for convenience, the English version prevails in case of conflict to the extent permitted by British Columbia law.

19. Materials accuracy

Vault tier descriptions, schedules, and facilitator assignments on neuralvault.one are updated regularly but may change before your confirmed session. We will notify enrolled participants of material changes. References to third-party AI tools reflect their capabilities at the time of curriculum design; tool features may change without notice from vendors.
